1. Agreement to these terms
These Terms of Service ("Terms") apply to your access to and use of OmniArt Studio, including our websites, applications, software, APIs, AI generation tools, account features, billing features, and related services (collectively, the "Services"). The Services are operated by OmniArt Studio ("OmniArt Studio," "Company," "we," "us," or "our"), located in Los Angeles, California, United States.
By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not understand or agree to these Terms, do not access or use the Services.
We may update these Terms from time to time. Updated Terms become effective when posted unless a later effective date is stated. Your continued use of the Services after an update means you accept the updated Terms.
2. Eligibility
You must be at least 16 years old to use OmniArt Studio, or older if the law where you live requires a higher minimum age. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Minors may use the Services only where permitted by applicable law and with involvement, supervision, and consent of a parent or legal guardian who accepts responsibility for the minor's use.
3. Services information
OmniArt Studio operates and manages the Services from Los Angeles, California, United States. The availability of features, models, products, subscriptions, credits, and content may vary by country, region, account type, provider availability, business needs, and applicable law.
The Services are provided on an "as is" and "as available" basis. We work to keep the Services reliable, but we do not guarantee that the Services will be uninterrupted, secure, error-free, or available at all times.
We may modify, suspend, limit, replace, discontinue, or remove any part of the Services at any time, including specific models, features, generation settings, credit rules, or content.
4. Accounts and security
- You must provide accurate, current, and complete account information and keep it updated.
- You are responsible for safeguarding your login credentials and all activity that occurs under your account.
- You may not impersonate another person, create accounts through unauthorized means, or transfer, sell, rent, or share your account except as expressly permitted by us.
- You must notify us promptly if you believe your account has been compromised or used without authorization.
- We may suspend, restrict, or terminate accounts that violate these Terms, create legal risk, threaten service integrity, or are used for abuse, fraud, or unlawful activity.
5. Inputs, outputs, and user content
You may submit prompts, text, images, videos, files, settings, feedback, and other materials to the Services ("Inputs") and receive generated images, videos, or other results ("Outputs"). Inputs, Outputs, account materials, and anything else you upload, generate, publish, share, or download through the Services are "User Content."
As between you and OmniArt Studio, you retain any rights you have in your Inputs. Subject to your compliance with these Terms and applicable law, we do not claim ownership of Outputs generated for you by the Services.
You are responsible for your User Content, including making sure you have the rights, permissions, consents, and licenses needed for your Inputs and for your intended use of Outputs. This includes content involving brands, products, celebrities, public figures, private individuals, likenesses, copyrighted works, trademarks, or other protected elements.
Outputs may be inaccurate, incomplete, similar to content generated for others, or unsuitable for your intended use. You are responsible for reviewing Outputs before using, publishing, or relying on them.
6. License you grant to OmniArt Studio
You grant OmniArt Studio and our service providers a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and modify User Content as needed to provide, maintain, secure, support, and improve the Services, comply with law, enforce these Terms, and prevent abuse.
Where we use User Content for product improvement, quality analysis, model evaluation, or model optimization, we do so in accordance with our Privacy Policy, account controls, provider terms, and applicable law.
7. Platform creative materials
OmniArt Studio may provide templates, examples, presets, model cards, prompt examples, visual references, UI assets, or other creative materials to help users create content ("Platform Materials").
Platform Materials are provided for use within the Services and do not transfer ownership, trademark rights, copyrights, or other intellectual property rights to you. You may not use Platform Materials outside the Services or for commercial exploitation unless we expressly permit it or the applicable license allows it.
8. Acceptable use
You may not use the Services, User Content, Outputs, Platform Materials, or any part of OmniArt Studio for unlawful, harmful, abusive, deceptive, infringing, or unauthorized purposes.
- Harassment, threats, bullying, doxxing, or non-consensual sharing of personal information.
- Hate, violent extremism, unlawful violence, exploitation, or content that targets protected classes.
- Child sexual abuse material, sexual exploitation of minors, or any sexualized content involving minors.
- Non-consensual intimate imagery, sexual content involving a real person without required rights and consent, or invasive likeness use.
- Fraud, scams, impersonation, phishing, election manipulation, deceptive synthetic media, or misleading commercial claims.
- Content that infringes intellectual property, privacy, publicity, contractual, confidentiality, or other rights.
- Unlawful regulated goods or services, illegal gambling, human trafficking, sexual solicitation, or other illegal activity.
- Malware, credential theft, security bypassing, scraping, reverse engineering, probing, scanning, or attacks against the Services or third-party systems.
- Automated or excessive requests that burden, disrupt, or interfere with the Services, unless expressly authorized by us.
9. Billing, credits, and subscriptions
Some features may require credits, paid plans, subscriptions, or third-party payment processing. Prices, credit costs, plan limits, available models, and included features may change over time.
You are responsible for all charges, taxes, fees, and payment obligations associated with your account. Unless stated otherwise or required by law, payments and consumed credits are non-refundable. We may correct pricing, billing, or credit errors and may suspend access for failed payments, chargebacks, abuse, or suspected fraud.
10. Third-party services and model providers
The Services may rely on third-party providers for hosting, payments, analytics, AI models, storage, authentication, support, and other functions. Your use of certain features may be subject to additional third-party terms, policies, or restrictions.
We are not responsible for third-party services, content, outputs, outages, data practices, or terms. You are responsible for complying with any third-party requirements that apply to your use of connected features.
11. Intellectual property and reservation of rights
OmniArt Studio and its source code, user interface, design, trademarks, service marks, logos, documentation, workflows, systems, models, prompts, algorithms, and Platform Materials are owned by OmniArt Studio or our licensors and are protected by intellectual property and other laws.
Except for the rights expressly granted in these Terms, we reserve all rights in and to the Services. You may not use OmniArt Studio names, marks, branding, or confusingly similar identifiers without our prior written permission.
12. Privacy
Our Privacy Policy explains how we collect, use, share, store, and protect personal data. By using the Services, you acknowledge the processing described in the Privacy Policy.
13. Disclaimers
To the maximum extent permitted by law, the Services, Platform Materials, and Outputs are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and uninterrupted operation.
You are responsible for determining whether the Services and Outputs are suitable for your intended use, including commercial, legal, regulatory, advertising, intellectual property, and brand safety review.
14. Limitation of liability
To the maximum extent permitted by law, OmniArt Studio and our affiliates, directors, employees, contractors, service providers, and licensors will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, reputational harm, or cost of substitute services.
To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Services or these Terms will not exceed the amount you paid to OmniArt Studio for the Services giving rise to the claim during the three months before the event giving rise to liability, or 100 USD if you have not paid us during that period.
15. Indemnity
You agree to defend, indemnify, and hold harmless OmniArt Studio, our affiliates, directors, employees, contractors, service providers, and licensors from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from or related to your use of the Services, User Content, breach of these Terms, violation of law, or infringement of another person's rights.
16. Copyright and rights complaints
If you believe content available through OmniArt Studio infringes your copyright, trademark, publicity, privacy, or other rights, contact us at hello@omniart.studio with enough information to identify the content, explain the claimed infringement, verify your authority, and allow us to respond.
We may remove or restrict content, suspend accounts, or terminate repeat infringers when appropriate and required by law.
17. Termination
You may stop using the Services at any time. We may suspend, restrict, or terminate your access to all or part of the Services if we believe you violated these Terms, created risk or legal exposure, used the Services abusively, failed to pay amounts due, or if we discontinue the Services.
Termination does not affect provisions that by their nature should survive, including ownership, licenses needed for prior operation, disclaimers, limitation of liability, indemnity, dispute terms, and miscellaneous provisions.
18. Governing law and disputes
These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of California, United States, without regard to conflict of law principles.
The parties will first attempt to resolve disputes through good-faith negotiation. If a dispute cannot be resolved informally, the dispute will be resolved by binding arbitration in Los Angeles County, California, United States, in English, except that either party may seek injunctive or equitable relief in a court of competent jurisdiction for misuse of intellectual property, unauthorized access, or threats to service integrity.
19. Miscellaneous
These Terms, together with the Privacy Policy and any additional terms that apply to specific features, form the entire agreement between you and OmniArt Studio regarding the Services. If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign these Terms as part of a merger, acquisition, reorganization, or sale of assets.
